Terms of Service

1. Agreement

These Terms of Service are an agreement between you and HIM Robotics (“HIM,” “we,” “us,” or “our”). They govern your access to HIM Arena, HIM Compute, our APIs, developer tools, challenges, datasets, and related services (the “Services”). By creating an account, signing in after accepting these Terms, or using the Services, you agree to them. If you use the Services for a company, school, lab, or other organization, you represent that you can bind that organization.

You must be at least 18 years old and legally able to enter this agreement. If you do not agree, do not use the Services.

2. Accounts

Provide accurate account information, keep credentials and API tokens secure, and tell us promptly about unauthorized access. You are responsible for activity under your account and for people you authorize to use it. You may not sell, transfer, or share an account outside your organization without our written permission.

3. HIM owns the platform

HIM and its licensors own the Services, including our software, interfaces, designs, documentation, branding, official challenge definitions, official evaluators, and the selection and arrangement of platform content. These Terms give you a limited, revocable, non-exclusive, non-transferable right to use the Services as intended. They do not transfer any ownership in the platform to you.

You may not copy or resell the Services, reverse engineer protected platform components, remove notices, evade access controls, or use HIM names or marks without permission, except where applicable law does not allow that restriction.

4. You own your work and outputs

As between you and HIM, you retain ownership of the code, policies, models, weights, datasets, media, challenge packages, and other material you submit (“User Materials”). Subject to third-party rights and applicable law, you also own outputs generated for you by the Services (“Outputs”).

You grant HIM a worldwide, non-exclusive, royalty-free license to host, copy, process, adapt, transmit, render, distribute, and display User Materials and Outputs to provide, operate, secure, support, promote, and improve the Services, follow your visibility choices, and comply with law. HIM may sublicense these rights to service providers and collaborators for those purposes. This license lasts while the material is stored with us and for a reasonable backup, security, or legal-retention period.

If you intentionally publish material as public, you also permit HIM to display and promote it in connection with HIM and permit other users to access and use it through the public challenge or dataset features you selected. A separate license attached to your material controls where it provides more specific terms.

You are responsible for having the rights needed to submit and use User Materials. Outputs may not be unique and may include or depend on third-party software, assets, models, or data governed by their own terms. HIM does not promise that an Output is copyrightable, exclusive, or free of third-party claims.

5. Challenges, evaluations, and hardware

Challenge rules, scoring formulas, eligibility, datasets, rewards, event access, and hardware-validation paths may have additional published terms, including the Challenge Rules. Simulation scores and videos are evidence from a declared environment; they are not a promise of real-world safety, performance, prize eligibility, or deployment on a robot. HIM may reject, rerun, audit, or remove results affected by bugs, manipulation, rule violations, security issues, or invalid evidence.

6. Compute, credits, and third-party services

Hosted compute may use third-party infrastructure. Jobs can be delayed, interrupted, preempted, or fail. Review resource limits, expected charges, and outputs before launching work. Credits are a limited license to consume eligible Services, have no cash value, are non-transferable, and are not refundable except where required by law or expressly stated at purchase. We may correct credit or billing errors.

Third-party software and services, including source-control, simulator, cloud, and model providers, remain governed by their own terms. HIM is not responsible for third-party products it does not control.

7. Acceptable use

You may not use the Services to:

  • violate law or another person’s rights;
  • upload malware, steal credentials, disrupt systems, mine cryptocurrency, or access accounts or data without permission;
  • bypass quotas, manipulate rankings, or misrepresent simulated or hardware results;
  • develop or deploy weapons, harmful autonomous systems, unlawful surveillance, or systems intended to injure people or property;
  • submit personal, confidential, export-controlled, or regulated data unless you have authority and the Services expressly support that use; or
  • use Outputs as a substitute for required safety review.

8. Feedback and service data

If you give HIM feedback or suggestions, you grant HIM a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation. HIM may create and use aggregated or de-identified operational information that does not identify you or disclose your private User Materials.

HIM may use the verified email associated with your account to send product, challenge, and prize announcements. Promotional email includes an unsubscribe method where required by law. Account, security, legal, and service communications may still be sent when needed to operate the Services.

9. Suspension and termination

You may stop using the Services at any time. HIM may limit, suspend, or terminate access to protect users or systems, comply with law, address nonpayment, investigate violations, or discontinue a Service. Public or shared records may remain where needed for result integrity, other users’ rights, security, backups, or legal obligations.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” HIM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND THAT THE SERVICES WILL BE ERROR-FREE OR SECURE. ROBOTICS, SIMULATION, TRAINING, AND HARDWARE USE CAN BE DANGEROUS. YOU ARE RESPONSIBLE FOR INDEPENDENT TESTING, SAFETY CONTROLS, SUPERVISION, AND DEPLOYMENT DECISIONS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIM AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, COMPUTE TIME, BUSINESS OPPORTUNITY, OR HARDWARE DAMAGE. THEIR TOTAL LIABILITY ARISING FROM THE SERVICES WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID HIM FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THOSE LIMITATIONS APPLY ONLY TO THE EXTENT PERMITTED.

12. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless HIM and its affiliates, officers, employees, and agents from claims, damages, losses, and reasonable legal fees arising from your User Materials, your use of the Services, your violation of these Terms, or your violation of another person’s rights. This does not apply to the extent a claim was caused by HIM’s willful misconduct.

13. Changes

We may update the Services and these Terms. We will post the updated version and effective date and may require acceptance before further use of the Services.

14. Governing law and disputes

California law governs these Terms, without regard to conflict-of-law rules. The state and federal courts located in San Mateo County, California have exclusive jurisdiction, and you and HIM consent to personal jurisdiction there. Nothing in these Terms limits either party’s right to seek urgent injunctive relief or any rights that cannot legally be waived.

15. General

These Terms, any challenge-specific terms, and policies expressly incorporated into them are the entire agreement about the Services. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest remains effective. HIM may assign these Terms in connection with a reorganization, financing, merger, acquisition, or sale of assets. You may not assign them without our written consent. Failure to enforce a provision is not a waiver.
